Cadbury plc (NYSE:CBY) is expected next week to publish a formal defense (The Deal Pipeline subscription required) to Kraft Foods Inc.'s (NYSE:KFT) $16.3 billion hostile bid. In the meantime, the U.K. confectioner may be hoping a competing bid materializes from some combination of Pennsylvania-based Hershey Co. (NYSE:HSY), Nestle SA of Vevey, Switzerland or Italy's Ferrero International SA. There's also been talk that Kohlberg Kravis Roberts & Co. might be interested in a bite of Cadbury. If another offer does arrive, it may bring with it some serious antitrust scrutiny, says John Briggs, co-chair of the antitrust practice group at Axinn, Veltrop and Harkrider LLP.

Cadbury plc (NYSE:CBY) executives and British government officials have repeatedly slammed Kraft Foods Inc.'s (NYSE:KFT) $16.3 billion hostile bid for the U.K. confectioner. Most recently the British Secretary warned Kraft (The Deal Pipeline subscription required) against trying to "make a fast buck." But John Briggs, co-chair of the antitrust practice group at Axinn, Veltrop and Harkrider LLP, says the backlash against Kraft may be as much about culture as it is about price. - Suzanne Stevens

Linklater's Schmidt on aggressive antitrust merger reviews

Candidate Barrack Obama talked plenty during last year's presidential campaign about the need for more aggressive antitrust merger reviews. Have the Federal Trade Commission and the Department of Justice delivered? We put the question to Jeffrey Schmidt, a partner in the New York office of Linklaters and a former director of the Federal Trade Commission's bureau of competition under President George W. Bush. Schmidt, who will be discussing the antitrust environment at The Deal Economy 2010 conference Nov. 18 and 19, says while there haven't been many high-profile challenges, you can be sure the agencies are scrutinizing proposed acquisitions more closely than they have in years.See the video below or download it at iTunes. - Suzanne Stevens
